1. Acceptance of These Terms

By accessing or using https://asd-ai.online, including any related services, tools, features, content, digital products, tokens, credits, or applications provided by ASD AI, you agree to these Terms of Service.

If you do not agree with these Terms, you must not use our website or services.

2. About ASD AI

ASD AI provides online tools that help users turn ideas into clearer plans. Our services may include, but are not limited to:

collecting information about your idea, target audience, skill level, available time, and budget;
generating structured project plans;
recommending tools, workflows, or next steps;
providing instructions, prompts, or guidance for building or improving a project;
offering AI-assisted planning features, templates, documents, and digital resources.

ASD AI is intended to support creativity, planning, learning, and productivity. We do not guarantee business success, technical success, financial results, legal compliance, commercial performance, or any specific outcome.

3. Eligibility

You may use ASD AI only if you are legally able to enter into a binding agreement.

If you use ASD AI on behalf of a company, organization, or other legal entity, you confirm that you have authority to accept these Terms on its behalf.

4. User Accounts

Some features may require an account. You agree to provide accurate information and keep your login details secure.

You are responsible for all activity under your account. You must notify us immediately if you believe your account has been accessed without permission.

We may suspend or terminate accounts that violate these Terms or create risk for ASD AI, other users, or third parties.

5. Your Inputs

You may provide text, ideas, descriptions, business concepts, project information, files, or other content to ASD AI.

You remain responsible for everything you submit. You confirm that you have the right to submit your content and that your content does not violate any law, third-party right, confidentiality obligation, intellectual property right, privacy right, or these Terms.

You should not submit confidential, highly sensitive, illegal, harmful, or regulated information unless the service specifically allows it and appropriate safeguards are in place.

6. AI-Generated Outputs

ASD AI may generate plans, recommendations, instructions, prompts, summaries, ideas, or other outputs using automated or AI-assisted systems.

You understand and agree that AI-generated outputs may be incomplete, inaccurate, outdated, or unsuitable for your specific situation. You are responsible for reviewing, testing, and verifying all outputs before relying on them.

ASD AI does not provide legal, financial, medical, tax, investment, engineering, safety, or other regulated professional advice. Any output that touches these areas is for general informational purposes only and should be reviewed by a qualified professional.

7. Ownership of Content

As between you and ASD AI, you retain ownership of your original inputs.

Subject to your compliance with these Terms, you may use the outputs generated for you for personal or commercial purposes.

However, we do not guarantee that outputs are unique, copyrightable, free from third-party rights, or suitable for trademark, patent, copyright registration, or other intellectual property protection.

ASD AI and its licensors retain all rights in the website, software, branding, designs, systems, templates, workflows, databases, technology, service structure, and platform functionality.

You may not copy, resell, reverse engineer, scrape, clone, reproduce, or commercially exploit the ASD AI platform or its core functionality without our written permission.

8. Acceptable Use

You agree not to use ASD AI to:

violate any law or regulation;
create, distribute, or promote fraud, scams, phishing, impersonation, or deceptive activity;
infringe intellectual property rights, privacy rights, or other third-party rights;
upload malware, viruses, or harmful code;
interfere with, overload, or disrupt our systems;
bypass security, rate limits, access controls, payment systems, or usage restrictions;
generate hateful, abusive, exploitative, violent, or illegal content;
create content that encourages violence, self-harm, abuse, exploitation, or criminal conduct;
misrepresent AI-generated content as verified professional advice;
use the service to build a competing platform by copying our design, workflow, content, or proprietary features.

We may remove content, limit access, suspend accounts, or terminate accounts that violate this section.

9. Payments, Subscriptions, Tokens, and Credits

Some ASD AI services may be free, while others may require payment, subscription, tokens, credits, or one-time fees.

Prices, features, limits, token amounts, credit amounts, and billing periods will be shown at checkout or inside the platform.

By purchasing a paid service, subscription, token package, or credit package, you authorize ASD AI or its payment provider to charge the applicable fees.

You are responsible for providing accurate billing information and keeping your payment method up to date.

Unless stated otherwise, paid subscriptions may renew automatically until cancelled.

Tokens or credits may be used to access specific features, generate outputs, unlock digital services, or perform actions inside the ASD AI platform.

Tokens and credits have no cash value, cannot be exchanged for cash, and cannot be transferred unless we expressly allow it.

10. Token Usage, Service Delivery, and Refunds

Once tokens or credits are purchased and then used, the related digital service is considered delivered and performed by ASD AI.

By using tokens or credits, you acknowledge and agree that ASD AI begins providing the digital service immediately when the tokens or credits are used.

Used tokens or credits are non-refundable because the service has already been provided from our side.

Refunds will not be provided for:

tokens or credits that have already been used;
AI-generated outputs already delivered;
completed digital services;
generated plans, recommendations, prompts, documents, instructions, or other outputs;
dissatisfaction with generated results where the service was technically delivered;
user error, including accidental use of tokens or credits;
failure to use purchased tokens or credits before any stated expiry date;
account misuse, violation of these Terms, or suspension caused by user conduct.

Unused tokens or credits may also be non-refundable unless we expressly state otherwise, or unless a refund is required by applicable law.

Nothing in these Terms limits any mandatory consumer rights that may apply in your country.

11. Cancellation

You may cancel a subscription according to the cancellation method provided in your account, checkout page, payment provider portal, or payment confirmation.

Cancelling a subscription prevents future renewal charges, but it does not automatically refund previous payments, used tokens, used credits, or already delivered digital services.

If your subscription includes tokens, credits, or access rights, those benefits may expire at the end of the billing period, according to the plan terms shown at purchase.

12. Third-Party Tools and Services

ASD AI may recommend, link to, or integrate with third-party tools, software, platforms, websites, APIs, payment providers, hosting services, AI services, or other external services.

We do not control third-party services and are not responsible for their availability, pricing, performance, terms, privacy practices, content, or results.

Your use of third-party services is governed by their own terms and policies.

Recommendations generated by ASD AI are for informational and planning purposes only. You are responsible for deciding whether any third-party tool or service is suitable for your needs.

13. Privacy

Your use of ASD AI is also subject to our Privacy Policy.

Our Privacy Policy explains what personal information we collect, how we use it, which service providers may process it, how long we keep it, and what rights you may have.

By using ASD AI, you agree that we may process your information as described in our Privacy Policy.

14. Service Availability

We try to keep ASD AI available and functional, but we do not guarantee uninterrupted access.

The service may be unavailable due to maintenance, updates, technical problems, internet issues, provider outages, security events, or reasons outside our control.

We may modify, suspend, replace, limit, or discontinue any part of the service at any time.

15. Beta Features and Coming Soon Features

Some features may be experimental, unfinished, or labelled as beta, preview, early access, or coming soon.

Beta or upcoming features may contain errors, change without notice, or be removed at any time.

You use beta features at your own risk.

Any feature labelled “coming soon” is planned but not guaranteed. We may change, delay, or cancel planned features at our discretion.

16. Disclaimers

ASD AI is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of accuracy, reliability, fitness for a particular purpose, merchantability, non-infringement, availability, and security.

We do not guarantee that:

the service will meet your expectations;
outputs will be accurate, complete, or current;
recommended tools will work for your specific case;
your idea, project, product, or business will succeed;
the service will be error-free or uninterrupted;
outputs will be legally, commercially, financially, or technically suitable;
AI-generated outputs will be unique or free from third-party rights.

You are responsible for your own decisions and actions based on the service.

17. Limitation of Liability

To the maximum extent permitted by law, ASD AI, Artifical Software Development, LLC, its owners, directors, employees, contractors, affiliates, partners, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes, but is not limited to, loss of profits, revenue, data, business opportunities, goodwill, expected savings, reputation, or customers.

To the maximum extent permitted by law, our total liability for any claim relating to the service will be limited to the amount you paid to ASD AI in the three months before the claim arose, or USD 100 if you paid nothing.

Some jurisdictions do not allow certain liability limitations, so some of these limits may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless ASD AI, Artifical Software Development, LLC, its owners, directors, employees, contractors, affiliates, partners, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from:

your use of the service;
your inputs, content, or files;
your use of AI-generated outputs;
your violation of these Terms;
your violation of law or third-party rights;
your misuse of third-party tools recommended through the service;
your business, product, project, or commercial decisions based on the service.

19. Suspension and Termination

You may stop using ASD AI at any time.

We may suspend or terminate your access if you violate these Terms, create legal risk, misuse the service, fail to pay fees, abuse tokens or credits, interfere with the platform, or use the service in a harmful way.

After termination, sections that by their nature should survive will continue to apply, including ownership, payments, refunds, disclaimers, limitation of liability, indemnification, and governing law.

Termination does not entitle you to a refund for used tokens, used credits, completed digital services, or already delivered outputs.

20. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we may notify users by email, website notice, account notice, or another reasonable method.

The updated Terms will apply from the effective date shown.

Continued use of ASD AI after changes means you accept the updated Terms.

21. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, unless mandatory consumer protection laws in your country require otherwise.

Any disputes will be handled in the competent courts of Delaware, United States, unless applicable law gives you the right to bring a claim elsewhere.

23. Checkout Consent for Digital Services

Before purchasing or using tokens, credits, or digital services, ASD AI may require you to confirm the following:

“I understand that when I buy and use tokens or credits, ASD AI begins providing the digital service immediately. Used tokens or credits are non-refundable once the service has been delivered, except where required by law.”

By confirming this statement and using tokens or credits, you agree that the service begins immediately and that used tokens or credits cannot be refunded once the digital service has been provided.
